Young entrepreneur, a new form of SRL

In the Official Gazzete of Romania nr. 103/09.02.2011 was published the Government Emergency Ordinance no. 6/02.02.2011 to stimulate the establishment and development of micro enterprises by young entrepreneurs.

Intrested persons, who wish to benefit from the Program to stimulate creation and development of micro enterprises by young entrepreneurs, may require registration with the Trade Registry within whose territorial jurisdiction the head office.

Program beneficiaries covered by this emergency ordinance, called young trader, is a major individual who meets the following conditions:

In the Official Gazzete of Romania nr. 103/09.02.2011 was published the Government Emergency Ordinance no. 6/02.02.2011 to stimulate the establishment and development of micro enterprises by young entrepreneurs.

Intrested persons, who wish to benefit from the Program to stimulate creation and development of micro enterprises by young entrepreneurs, may require registration with the Trade Registry within whose territorial jurisdiction the head office.

Program beneficiaries covered by this emergency ordinance, called young trader, is a major individual who meets the following conditions:

1. has full legal capacity to exercise, aged up to 35 years old at the latest day of application for registration of limited liability company in the Trade Register
2. prior registration in the Commercial Register the company has never owned and does not hold a shareholder, partner or member of governing bodies within a company incorporated in the European Economic Area;
3. first established a limited liability company under the Law no. 31/1990, republished, with subsequent amendments, the Companies and this ordinance;
4. declare on oath, under penalty of criminal prosecution for false statements that the letter satisfies the requirements. b, and file it with the Trade Registry for registration of a company.

Micro-enterprise founded by young entrepreneur must meet the following conditions:

1. is a limited liability company (LLC), who works for an indefinite period, according to Law no. 31/1990, republished, modified and supplemented and of this ordinance;
2. fall within the micro-Law no. 346/2004.
3. is established by a business beginner, as sole, or at most five (5) entrepreneurs junior associates, and the conditions must be met by the developer of young associates, as provided in Art. 2;
4. is managed by the sole member of one or more directors of the parent;
5. has the objects of no more than 5 (five) business groups under the classification of existing activities in the national economy (NACE Rev. 2). The 5 (five) business groups can not be included as an object of the company the following: financial intermediation, insurance, real estate, gambling activities and gambling, production or marketing of weapons, ammunition, explosives, tobacco, alcohol Substances under national control, plants, narcotics and psychotropic substances and preparations and activities excluded from the European rules which can not be granted state aid.

As an important detail, young developer is exempt from registration fees for transactions made with the Trade Registry for registration of microenterprise.
